Non-Disclosure & Confidentiality Agreements

Confidentiality agreements, also called non-disclosure agreements or secrecy agreements, are contracts between two parties that govern the disclosure of confidential information by one party to the other.  The confidential information disclosed may relate to business information, scientific data, chemical formulas or processes, software, designs, manufacturing techniques and know-how.  The agreement may be bilateral, where the confidential information of both parties is protected, or unilateral, meaning that the agreement protects the confidential information of only one party.

Confidentiality agreements often precede licensing negotiation, joint development agreements, or the acquisition or transfer of intellectual property.
